[PRESS RELEASE \u2013 San Francisco, California, February 21st, 2025]<\/strong><\/p>\n

Three stockholders of Ionic Digital Inc. (\u201cIonic Digital\u201d or the \u201cCompany\u201d), Tony Vejseli, Chris Villinger, and Brett Perry (collectively, the \u201cNominating Stockholders\u201d) today announced that they have established a website<\/a> that will enable Ionic Digital stockholders to vote for their nominees \u2013 Mike Abbate and Oliver Wiener \u2013 by proxy at Ionic Digital\u2019s upcoming annual meeting of stockholders currently scheduled for March 17, 2025 (the \u201cAnnual Meeting\u201d).<\/p>\n

Ionic Digital has refused to deliver its stockholder list to the Nominating Stockholders. The Nominating Stockholders therefore filed a lawsuit in the Delaware Court of Chancery to obtain the stockholder list and a trial is scheduled for March 11, 2025.<\/p>\n

Even with these tactics, stockholders can still vote for Mike Abbate and Oliver Weiner. The Nominating Stockholders have established a website to allow stockholders to vote for the Nominating Stockholders\u2019 nominees. Stockholders of Ionic Digital can go to <\/strong>www.ionicvote.com<\/strong><\/a> and vote for a GOLD proxy card today! <\/strong>The website also contains other relevant information and documents concerning the Nominating Stockholders and the Company, including a copy of the Nominating Stockholders\u2019 proxy statement. All Ionic Digital stockholders are encouraged to read the proxy statement and vote their GOLD <\/strong>proxy card today.<\/p>\n

Given the short time frame until the Annual Meeting on March 17th, the Nominating Stockholders invite all stockholders to vote today! It is imperative that voting stockholders enter their name and address EXACTLY as they appear on the Odyssey website<\/strong>. If stockholders have any questions on how to confirm their Odyssey information or how to access or vote for the GOLD <\/strong>proxy card, they may contact Saratoga Proxy Consulting LLC at the contact information listed below.<\/p>\n

The Nominating Stockholders remain committed to enhancing transparency, efficiency, and accountability concerning Ionic Digital\u2019s financial and operational metrics and seeking to provide liquidity to their fellow stockholders in the near term.<\/p>\n

The Nominating Stockholders urge other stockholders NOT to sign or vote on any proxy cards received from the Company. <\/strong>Doing so, even as a protest vote, will not count as a vote for Mr. Abbate or Mr. Wiener.<\/p>\n

Oliver Wiener is a Founder and Managing Partner of Kensington Merchant Partners, an investment management and corporate development advisory business focused on Financials, Fintech, Insurance, Insuretech, and Blockchain verticals, and has over 20 years of financial and investment experience, with a focus on the technology, blockchain, and fintech industries. Mr. Wiener currently serves on the board of directors of Chain Bridge I, a publicly-traded SPAC, and The National Security Group, Inc., an insurance holding company. Mr. Wiener is a founding team member of investment bank BTIG.<\/p>\n

Michael Abbate currently serves as an advisor to Figure Markets Holdings, Inc.
