The SEC branch seeks to \u201cprovide greater clarity on the application of the federal securities laws to crypto assets.\u201d<\/p>\n<h2 style=\"font-weight: 400;\">SEC Offers Clarity On Crypto Staking<\/h2>\n<p style=\"font-weight: 400;\">On Thursday, the SEC\u2019s Division of Corporation Finance <a href=\"https:\/\/www.sec.gov\/newsroom\/speeches-statements\/statement-certain-protocol-staking-activities-052925\" target=\"_blank\" rel=\"noopener nofollow\">issued<\/a> new guidance on Protocol Staking, affirming that most of these activities are not subject to US securities laws and \u201cdon\u2019t need to register with the Commission transactions under the Securities Act.\u201d<\/p>\n<p style=\"font-weight: 400;\">In its statement, the regulatory agency said that certain <a href=\"https:\/\/bitcoinist.com\/hong-kong-issues-new-crypto-guidelines-allowing-staking-services-for-licensed-platforms\/\" target=\"_blank\" rel=\"noopener \">staking<\/a> activities on Proof-of-Stake (PoS) networks are not considered securities transactions under federal regulations. The SEC explained that the new guidance addresses the staking of cryptocurrencies \u201cintrinsically linked to the programmatic functioning of a public, permissionless network.\u201d<\/p>\n<p style=\"font-weight: 400;\">Therefore, these activities, including self-staking, self-custodial staking with direct third-party validators, and custodial staking where platforms stake assets on behalf of customers, don\u2019t meet the criteria for an investment contract under the Howey Test and don\u2019t involve the offer and sale of securities.<\/p>\n<p style=\"font-weight: 400;\">Journalist Eleanor Terret <a href=\"https:\/\/x.com\/EleanorTerrett\/status\/1928234514448535581\" target=\"_blank\" rel=\"noopener nofollow\">highlighted<\/a> that the SEC\u2019s statement \u201cis a big deal for ETF providers who want to offer staking,\u201d as it clarifies that \u201cstaking in this format is generally not thought of as a securities transaction by the Division of Corporation Finance.\u201d<\/p>\n<p style=\"font-weight: 400;\">However, the guidance noted that it doesn\u2019t address all <a href=\"https:\/\/bitcoinist.com\/ethereum-etfs-may-soon-allow-staking\/\" target=\"_blank\" rel=\"noopener \">staking<\/a> practices: \u201cThis statement addresses Protocol Staking generally rather than all of its variations. Further, this statement does not address all forms of \u2018staking,\u2019 such as so-called \u2018liquid staking,\u2019 \u2018restaking\u2019 or \u2018liquid restaking.\u2019\u201d<\/p>\n<h2 style=\"font-weight: 400;\">\u2018Stake It Till You Make It\u2019?<\/h2>\n<p style=\"font-weight: 400;\">Following the news, SEC Commissioner Hester Peirce <a href=\"https:\/\/www.sec.gov\/newsroom\/speeches-statements\/peirce-statement-protocol-staking-052925\" target=\"_blank\" rel=\"noopener nofollow\">stated<\/a> that the new guidance \u201cprovides welcome clarity for stakers\u201d as uncertainty surrounding regulatory views discouraged Americans from engaging in staking activities for fear of violating securities laws.<\/p>\n<p style=\"font-weight: 400;\">\u201cProviding Security is not a \u2018Security,\u2019\u201d she affirmed, adding that the unclear rules \u201cartificially constrained participation in network consensus and undermined the decentralization, censorship resistance, and credible neutrality of proof-of-stake blockchains.\u201d<\/p>\n<p style=\"font-weight: 400;\">The new guidance follows the industry\u2019s call for clear staking rules, where a coalition of nearly 30 industry players and advocacy groups urged the SEC to offer clarity. As <a href=\"https:\/\/bitcoinist.com\/crypto-coalition-urges-us-sec-to-provide-clear-staking-guidelines-in-new-letter\/\" target=\"_blank\" rel=\"noopener \">reported<\/a> by Bitcoinist, the Crypto Council for Innovation\u2019s (CCI) Proof of Stake Alliance (POSA)\u00a0sent a letter signed by 29 industry giants to the SEC\u2019s Crypto Task Force on April 30.<\/p>\n<p style=\"font-weight: 400;\">Acknowledging the SEC\u2019s regulatory shift under the Trump administration, the letter argued that the existing securities disclosure regime was ill-suited for staking services, which are fundamentally technical instead of financial.<\/p>\n<p style=\"font-weight: 400;\">The crypto coalition asked for clear, principles-based guidance for staking and staking services, citing the SEC\u2019s March statement on Proof-of-Work (PoW) mining, to protect users while enabling the growth of the staking industry.<\/p>\n<p style=\"font-weight: 400;\">However, not all SEC Commissioners agreed with the new guidance.
