The U.S. Securities and Exchange Commission is moving closer to a decision that could fundamentally redraw the boundaries of American capital markets. Speaking at the Economic Club of Washington on April 21, SEC Chairman Paul Atkins announced<\/a> that the agency is “on the cusp” of releasing what he called an “innovation exemption” \u2014 a framework that would allow tokenized securities to trade directly on blockchain networks for the first time under formal regulatory cover.<\/p>\n

“We are on the cusp of releasing what I call an \u2018innovation exemption,'” Atkins said, “which will provide market participants with a cabined framework to begin facilitating the trading of tokenized securities on-chain in a compliant fashion as the Commission works toward long-term rules of the road.”<\/p>\n

If that exemption materializes, stocks may no longer need traditional exchanges to trade. The implications stretch far beyond crypto.<\/p>\n

What Are Tokenized Securities?<\/strong><\/h2>\n

A tokenized security is a traditional financial asset \u2014 a stock, bond, or fund share represented as a digital token on a blockchain. The token carries the same legal ownership rights as its conventional counterpart, but it is programmable, divisible, and capable of settling in near-real time without a clearinghouse standing in the middle.<\/p>\n

The tokenized real-world asset market reached over<\/a> $24 billion by June 2025. An 85% year-over-year expansion, driven largely by institutional players who have moved well beyond experimentation. BlackRock’s BUIDL fund reached nearly $3 billion in size and was accepted as collateral on Binance, while Franklin Templeton’s BENJI token represents over $800 million in a U.S.-registered government money-market fund, with its shareholder records maintained on seven different networks.<\/p>\n

This is not a fringe technology anymore. The plumbing connecting Wall Street to blockchain rails is already in production.<\/p>\n

What the SEC Is Actually Proposing<\/strong><\/h2>\n

The proposed innovation exemption would give qualified firms a regulatory sandbox. A limited window to issue and trade tokenized securities onchain under lighter-touch compliance conditions, while still operating under SEC oversight.<\/p>\n

Under the framework described in prior Project Crypto guidance, eligible issuers and trading venues would receive a 12- to 36-month grace window from full registration requirements, after which they must either demonstrate sufficient decentralization or come into full compliance.<\/p>\n

Atkins has been explicit about what kind of trading he envisions. A specific example<\/a> he outlined was the potential to trade tokenized securities on permissionless chains via DeFi automated market makers and other decentralized liquidity mechanisms. In plainer terms: tokenized Apple shares trading on a decentralized protocol, settling in seconds, with no broker required.<\/p>\n
